Audio Branding Inc. ("Licensor") grants you, as an active subscriber, a non-exclusive, non-transferable, worldwide license to synchronize music tracks from the Big Bad Beds library ("Licensed Music") with visual media projects ("Productions") for the duration of your active subscription and as set forth herein. This is a blanket subscription license — all tracks in the library are covered under a single subscription for all permitted uses.
You may use Licensed Music in the following Productions: (a) film, television, and streaming content; (b) online video, social media, and digital advertising; (c) corporate videos, presentations, and internal communications; (d) podcasts, audiobooks, and other audio productions; (e) video games and interactive media; (f) trailers, promos, and teasers for the above. Productions may be distributed through any channel, including broadcast, streaming platforms, theatrical release, and online platforms.
Downloads made during an active subscription period may continue to be used in Productions that were completed or substantially in progress at the time your subscription lapses. However, you may not use Licensed Music in new Productions after your subscription ends. The Licensor retains all ownership, copyright, and master recording rights in the Licensed Music at all times.
You may not: (a) redistribute, sublicense, or resell the Licensed Music as standalone audio files; (b) use the Licensed Music in music libraries, sample packs, or production tool products; (c) claim authorship or copyright in the Licensed Music; (d) use the Licensed Music in productions that promote hate speech, illegal activity, or content that violates applicable law; or (e) share your account or downloaded files with third parties who have not subscribed to the Service.
The license granted herein is royalty-free for the uses described in Section 2. This means no per-use fees, synchronization fees, or master use fees are owed beyond your subscription. Music in the Big Bad Beds library may be registered with performing rights organizations (PROs). You remain responsible for any PRO obligations that apply in your jurisdiction for broadcast performances. Please consult your PRO if you are uncertain whether a cue report is required.
Attribution to Big Bad Beds or Audio Branding Inc. is appreciated but not required.
You agree to indemnify and hold harmless Audio Branding Inc. and its affiliates from any claims, losses, or damages arising from your use of the Licensed Music outside the scope of this Agreement or in violation of applicable law.
Licensor warrants that it has the right to grant the licenses set forth herein and that, to the best of its knowledge, the Licensed Music does not infringe the intellectual property rights of any third party. THE LICENSED MUSIC IS PROVIDED "AS IS" WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED.
This license terminates automatically upon cancellation or expiration of your subscription, subject to the retained rights in Section 3. Licensor may also terminate this license immediately upon breach of any provision of this Agreement.
This Agreement is governed by the laws of the State of Texas. Any disputes arising hereunder shall be resolved in the state or federal courts of Dallas County, Texas.
